Software License

Effective Date: 01 Jan 2026

This Software License Agreement (“License”) governs the use of the NavioTrack software platform, including the server application, web interface, mobile applications, APIs, and related components (collectively, the “Software”).

By purchasing, installing, or using the Software, you (“Licensee”) agree to the terms outlined below.

1. License Grant

NavioTrack grants the Licensee a non-exclusive, non-transferable license to use the Software in accordance with the terms of this agreement.

Depending on the purchased plan, the license may be provided as:

Self-hosted / On-premise deployment
Private cloud deployment
White-label enterprise solution

The license is valid only for the agreed number of vehicles, users, or devices.

2. Scope of Use

The Licensee may:

Use the Software for internal business operations
Connect supported GPS tracking devices
Access APIs and reporting features as permitted
Customize configurations within allowed limits

The Licensee may not:

Resell, sublicense, or distribute the Software without written consent
Reverse engineer, decompile, or modify core components
Use the Software for unlawful surveillance or tracking
Remove or alter proprietary notices

3. Ownership & Intellectual Property

All intellectual property rights, including source code, system architecture, documentation, trademarks, and branding, remain the exclusive property of NavioTrack.

This License does not transfer ownership of the Software—only the right to use it under defined conditions.

4. Customization & White-Label Use

Custom development, branding, white-labeling, or feature extensions may be provided under a separate written agreement.

Unless explicitly stated:

Customizations do not grant ownership rights
Core platform rights remain with NavioTrack
White-label licenses are restricted to agreed markets and use cases

5. Support & Maintenance

Software licenses may include:

Initial installation assistance
Basic onboarding and documentation

Ongoing support, updates, and maintenance:

May be included for a defined period, or
Offered under a separate annual support agreement

NavioTrack reserves the right to limit or suspend support for unsupported modifications.

6. Updates & Upgrades

Unless otherwise agreed:

The Licensee is entitled to minor updates and bug fixes
Major version upgrades may require an additional fee

NavioTrack is not obligated to provide backward compatibility for custom or modified deployments.

7. Data Responsibility

The Licensee is solely responsible for:

All data collected, stored, or processed using the Software
Compliance with local privacy, labor, and tracking regulations
Informing and obtaining consent from tracked individuals

NavioTrack does not assume responsibility for the Licensee’s data usage practices.

8. Third-Party Hardware & Services

The Software supports multiple third-party GPS devices and protocols.
NavioTrack is not responsible for:

Hardware failures or inaccuracies
Network connectivity issues
Third-party service interruptions

Compatibility may vary depending on the device model and firmware.

9. Termination

NavioTrack may terminate this License if the Licensee:

Violates license restrictions
Fails to comply with legal obligations
Uses the Software in an unauthorized or abusive manner

Upon termination:

The Licensee must cease all use of the Software
Access keys, services, and updates may be disabled

10. Disclaimer of Warranty

The Software is provided “as is” and “as available.”
NavioTrack does not warrant uninterrupted operation, error-free performance, or suitability for a specific purpose.

11. Limitation of Liability

To the maximum extent permitted by law, NavioTrack shall not be liable for:

Loss of business, revenue, or data
Indirect or consequential damages
Claims arising from misuse or unauthorized use

Total liability shall not exceed the license fees paid.

12. Governing Law

This License shall be governed by and construed in accordance with the laws of New York USA, unless otherwise agreed in writing.
